The terms governing your use of our website and engagement of our services.

By accessing our website or using our services, you agree to be bound by these terms. If you do not agree, please discontinue use immediately.

1 Definitions

Throughout these Terms & Conditions, the following terms shall have the meanings defined below:

  • "Company", "we", "us", "our" refers to ValueChain ERP Solutions Pvt Ltd, registered and operating from Hyderabad, Telangana, India.
  • "User", "you", "your" refers to any individual or entity accessing the Website or engaging our Services.
  • "Services" refers to all SAP consulting, implementation, support, rollout, migration, upgrade, and related professional services offered by the Company.
  • "Training Programs" refers to all SAP training courses, workshops, corporate training engagements, and related educational services.
  • "Content" refers to all text, graphics, logos, images, audio/video material, documents, and other material on the Website.

2 Use of Website

2.1 Permitted Use

You may access and use the Website for lawful purposes only, in accordance with these Terms. You agree to use the Website in a way that does not infringe the rights of others or restrict their use and enjoyment of the Website.

2.2 Prohibited Activities

You must not:

  • Use the Website in any way that violates applicable Indian or international laws or regulations.
  • Transmit unsolicited or unauthorized advertising or promotional material (spam).
  • Attempt to gain unauthorized access to any part of our systems or servers.
  • Introduce viruses, trojans, worms, or other malicious or harmful code.
  • Scrape, crawl, or systematically extract data from the Website without prior written consent.
  • Impersonate or misrepresent your affiliation with any person or organization.

2.3 Account Responsibility

If you are granted access to any client portal, training platform, or restricted area, you are responsible for maintaining the confidentiality of your credentials and all activity that occurs under your account.

3 Intellectual Property

All Content on the Website — including but not limited to text, graphics, logos, course materials, training documents, case studies, methodology frameworks, and software — is the exclusive intellectual property of ValueChain ERP Solutions Pvt Ltd or its licensors.

  • You may not copy, reproduce, republish, upload, post, transmit, or distribute any Content without our express prior written permission.
  • Training materials provided during courses are for personal learning use only and must not be shared, resold, or commercially distributed.
  • Any feedback, suggestions, or ideas you submit to us may be used by us freely without any obligation or compensation to you.
  • SAP® and all related SAP product names are registered trademarks of SAP SE. ValueChain is an independent services provider and is not affiliated with or endorsed by SAP SE unless explicitly stated.

4 SAP Consulting Services

4.1 Scope of Services

The scope, deliverables, timelines, and fees for all SAP consulting, implementation, support, and related professional services are defined in a mutually executed Statement of Work (SOW) or Service Agreement between the Company and the Client.

4.2 Client Responsibilities

Successful project delivery depends on the Client's timely cooperation. The Client agrees to:

  • Provide accurate and complete business requirements and process documentation.
  • Assign a dedicated point of contact and make key stakeholders available for workshops and reviews.
  • Ensure timely review and approval of deliverables to avoid project delays.
  • Provide necessary system access, hardware, and infrastructure as agreed in the SOW.
4.3 Change Requests

Any changes to the agreed project scope, timeline, or deliverables must be documented through a formal Change Request (CR) process and may result in additional charges. Verbal change instructions are not binding on the Company.

4.4 Warranties

We warrant that our Services will be performed with reasonable skill and care by qualified professionals in accordance with industry best practices. We do not warrant that the Services will meet all business outcomes unless specifically agreed in writing.

5 Training Programs

5.1 Enrollment

Enrollment in any training program is confirmed only upon receipt of the registration fee (or a mutually agreed advance payment). The Company reserves the right to adjust batch schedules, trainers, or delivery modes with reasonable prior notice.

5.2 Attendance & Access
  • Enrolled students receive access to the SAP training system for the duration of the course only.
  • Session recordings, if provided, are for enrolled students only and must not be shared or redistributed.
  • Minimum 70% attendance is required to receive the course completion certificate.
5.3 Certification

ValueChain course completion certificates are issued by us and are not official SAP SE certifications. We provide guidance and preparation support for official SAP certification exams, but the exam fee and outcome are the student's responsibility.

5.4 Placement Assistance

Where stated, placement assistance is provided on a best-effort basis through job referrals, resume guidance, and interview coaching. We do not guarantee job placement or specific salary outcomes.

6 Payments & Refund Policy

6.1 Fees

All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST) unless stated otherwise. Invoices must be paid as per the payment schedule agreed in the SOW or training enrollment form.

6.2 Late Payment

Invoices not paid within the agreed payment terms may attract a late payment charge of 2% per month on the outstanding balance, and the Company reserves the right to suspend services until outstanding dues are cleared.

Batch transfers (switching to a later batch of the same course) are permitted once per enrollment, subject to seat availability and a minimum of 3 days notice before the original batch start date.

6.4 Refund Policy — Consulting Services

Fees for professional services rendered are non-refundable. In cases of project termination, the Client shall pay for all work completed up to the termination date, as specified in the SOW.

7 Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared in the course of the engagement, including but not limited to business processes, financial data, project documentation, and system credentials. This obligation survives for a period of 3 years following the end of the engagement.

The Company may reference the client engagement as a project experience or case study for marketing purposes, without disclosing confidential client data, unless the Client explicitly objects in writing.

8 Disclaimers

  • The Website and its Content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
  • We do not warrant that the Website will be uninterrupted, error-free, or free of viruses or other harmful components.
  • Information on the Website is for general informational purposes only and does not constitute professional advice. Always consult a qualified SAP professional before making business decisions.
  • We reserve the right to modify, suspend, or discontinue any part of the Website or Services at any time without notice.
  • Third-party links on our Website are provided for convenience only. We have no control over and assume no responsibility for external websites.

9 Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Company's total liability arising out of or in connection with any Service shall not exceed the total fees paid by the Client for that specific Service in the preceding 3 months.
  • The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption.
  • The Company shall not be held liable for delays or failures in performance resulting from circumstances beyond our reasonable control (force majeure), including natural disasters, government actions, internet outages, or third-party system failures.

10 Indemnification

You agree to indemnify, defend, and hold harmless ValueChain ERP Solutions Pvt Ltd, its directors, employees, and partners from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Website in violation of these Terms.
  • Your breach of any representation, warranty, or obligation under these Terms or any Service Agreement.
  • Any content you submit, post, or transmit through the Website.
  • Your violation of any third-party rights, including intellectual property or privacy rights.

11 Governing Law & Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the laws of India, specifically the laws applicable in the state of Telangana.

Any dispute arising out of or in connection with these Terms or any Service Agreement shall first be attempted to be resolved amicably through good-faith negotiation within 30 days. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts in Hyderabad, Telangana, India.

12 Amendments

ValueChain ERP Solutions Pvt Ltd reserves the right to amend these Terms & Conditions at any time. Updated terms will be posted on this page with a revised "Last updated" date. Your continued use of the Website or Services after any changes constitutes acceptance of the updated Terms.

For active Service Agreements, any material changes to the terms applicable to that engagement will require mutual written agreement.
